These Legal Terms are governed by the laws of the United States. Any disputes will be resolved exclusively in the courts of Gwinnett County, Georgia. By using our Services, you agree to this jurisdiction.
Informal Negotiations
Before initiating legal or arbitration proceedings, both parties agree to make a good-faith effort to resolve disputes informally for a minimum of 60 days. This process begins when one party sends the other written notice, which must include a description of the dispute, the legal basis for the claim, and the specific relief sought, along with all supporting evidence.
Binding Arbitration
If the dispute cannot be resolved informally, it shall be settled through binding arbitration conducted in Gwinnett County, Georgia, under the rules of the American Arbitration Association (AAA) and in accordance with U.S. law.
Location and Format: Arbitration shall be held in Gwinnett County, Georgia. At the request of either party, proceedings may be conducted virtually via telephone, video conference, or other remote means, as permitted by the arbitrator.
Arbitration Costs: Each party is responsible for its own arbitration-related expenses, including attorney’s fees, unless explicitly required by law or deemed otherwise by the arbitrator in cases of demonstrable merit. All arbitration filing fees shall be borne by the initiating party and are non-refundable, regardless of case resolution.
Confidentiality: All arbitration proceedings, including related materials, testimony, and awards, shall remain strictly confidential, except as required by law.
Restrictions
Arbitration shall be limited to individual claims only. Neither party may pursue claims as part of a class action, collective action, or representative proceeding. The arbitrator may not consolidate multiple claims or preside over any form of class arbitration.
Exceptions
The following disputes are excluded from arbitration and may proceed in the courts of Gwinnett County, Georgia:
If any part of this arbitration clause is found unenforceable, the unenforceable provision shall be severed, and the remaining provisions shall remain in full effect.
Time Limit on Claims
Any claim arising out of or related to these Terms of Service must be filed within one (1) year from the date the cause of action occurred. Claims filed after this period shall be permanently barred, regardless of any law to the contrary.
Discovery Limitations
Discovery in arbitration shall be limited to the exchange of essential, relevant documents as determined by the arbitrator. Neither party shall have the right to extensive discovery or depositions without mutual agreement.
